1. Acceptance of Terms

By using Komos ("the Service"), you agree to these Terms, our Privacy Policy, and any other rules or guidelines that we may communicate to you. These Terms apply to all visitors, users, and others who access the Service ("Users"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you confirm that you have the legal capacity to agree to these Terms. The Service is intended for business use.

3. Account Registration

You are responsible for providing accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must use a valid business email address. Notify us immediately at security@komos.ai of any unauthorized use of your account.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You agree NOT to:

  • Use the Service for any unlawful purpose or to violate any laws
  • Automate interactions with websites in violation of their terms of service
  • Scrape, harvest, or collect personal data without proper authorization
  • Use the Service to send spam, phishing, or malicious content
  • Attempt to circumvent CAPTCHAs, bot detection, or security measures on third-party sites without authorization
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or related systems
  • Resell, sublicense, or provide the Service to third parties without authorization
  • Use the Service in any way that could damage, disable, or impair the Service

We reserve the right to suspend or terminate accounts violating these Terms without prior notice.

5. Your Data and Content

Your Data: You retain all rights to the data you input into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited license to use Your Data solely to provide and improve the Service.

Output Data: Any data, screenshots, or results generated by automations you create ("Output Data") belongs to you. We do not access, use, or share your Output Data except as necessary to provide the Service.

Credentials: Any credentials you store in the Service are encrypted using AES-256-GCM encryption. We cannot access your plaintext credentials.

6. Payment and Subscription

Certain features of the Service require payment. By subscribing to a paid plan:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable unless otherwise stated or required by law
  • We may change pricing with 30 days prior notice
  • Failure to pay may result in suspension or termination of your account

7. Intellectual Property

All content on the Service, including text, images, software, and documentation, is owned by Komos Technology, Inc. or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without explicit permission.

The automations and workflows you create using the Service belong to you.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party. This includes your automation configurations, credentials, and business data. We will not disclose your confidential information except as required by law or with your consent.

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, the Service may be temporarily unavailable due to scheduled maintenance (with 24-hour advance notice when possible) or circumstances beyond our control. Current service status is available at status.komos.ai.

10. Termination

By You: You may terminate your account at any time through your account settings or by contacting us.

By Us: We may suspend or terminate your access to the Service at our sole discretion for violation of these Terms, non-payment, or other legitimate reasons. We will provide notice when reasonably possible.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KOMOS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Komos, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including the terms of service of websites you automate; or (d) your automation activities.

14. Dispute Resolution

Informal Resolution: Before filing a formal dispute, you agree to contact us at legal@komos.ai to attempt informal resolution for at least 30 days.

Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration under the rules of the American Arbitration Association. Arbitration shall take place in San Francisco, California.

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Komos regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

No Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
